Ultimately, the rules are probably pretty straightforward: you can't, as one of our character artists, directly sell character merch yourself without doing it through Cover or with Cover approval involved for specific kinds of items that Cover would otherwise sell themselves (in this example, a daki).

Hence why the resolutions for the issue are either for A) Cover to produce and sell the daki themselves, using the mama's artwork, or B) for the mama to make a different kind of non-competing type of merch.

If this wasn't Gavis' mama, I doubt there would be nearly as stringent of criteria, but ultimately it's pretty reasonable for Cover to not want their character artists to have free reign to produce merch of their Hololive characters in merch categories that Cover themselves would like to release for them.
