If there are clauses for penalties in the contract, the party that violated the terms of the contract may be asked by the other party to comply with the penalties. If they don't comply, the party that was damaged has a CIVIL case, and they can ask a court to enforce the contract, i.e. use the state's power to make the offending party comply. At this point, the legislative may throw out your case because the terms of the contract did not comply with the law and were invalid to begin with.
Nothing illegal has happened in any of the things I described. Breaking a contract is not illegal. Illegal means it is a CRIMINAL act under the law. Breaching a contract is not a CRIMINAL matter, it is a CIVIL matter. Do you see the difference?
