Like the other guy said, certain beneficial bacteria die, although this is not a huge deal in milk. There are bacterial death curves as a function of temperature and heating time, so you can in theory precisely tailor how many bacteria you want to kill (see: most of them). No one likes sour milk.

The other downside of pasteurization is the slight decrease in the bioavailability of certain vitamins, peptides, bioactive stuff, etc. Any heat treatment will affect anything that's heat sensitive. Heating will also induce changes in sugar, proteins etc and alter the flavor. By and large, this has thoroughly been researched and put to action. However, the ever-growing voice of retards who think "processing" is bad (pasteurization is a processing operation) large shapes public opinion.

So the temp that kills life also degrades things we need to live. Ideally, we'd consume unpasteurized dairy and alcoholic beverages to enjoy the benefits of pre/probiotics and more temperature sensitive micronutrients. Speaking about this topic, check out the milk I had when I traveled to nashville, the pasteurization is set a lowish temp and it's pretty creamy compared to the milk I get at the store. It certainly affects the taste.
