If the business ceases to continue, net operating losses are lost. They can't be bought just so an new unrelated company can offset its taxes. They can only be used to offset taxes for any successor entity that's liquidating its assets, and may be accruing capital gains in the process.

The nol's are being preserved to maximize repayment of debt, and the judge was satisfied at the end of liquidation to pay the outstanding debts, there would be zero assets and equity remaining so the shares were canceled and deleted.

There are no share holders at this point. Just creditors, and after everything is sold, there won't even be nearly enough to make them whole.
