Enterprise adoption wasn't happening. He tried talking Volksbank-Raffeizen into using their syndicated loan dApp, they tried lawpilots as well, they put a lot of energy into this but he came too much across as this autistic lego collectora that he is to close any deals with the exception of docmosis, a 3 people company that thinks blockchain is cool.
So he figured that now that mainnet has been delivered he'd just be wasting his time doing something he pretty much sucked at whilst what he really wanted is join his buddy Kyung and work on the energy usecase.
Meanwhile over in Vietnam, Tomo was shitting the bed. All the autistic nerds just launching on Ethereum because why wouldn't they.
So Tomochain bought Lition Technology AG and thus the intellectual property rights on the usecases already acquired by Lition. The whitepaper states that these are banking and energy usecases but perhaps in the meantime Lition has additional intelectual property rights.
Thus the energy usecase will keep running as an Ethereum sidechain backed by staked ERC-20 LIT tokens and will generate tx fees and will grow faster than it would have had without Richard working full time. They will also have to pay fees to Tomochain the company. Tomochain the company will also get LIT tokens that were held by Lition and will be able to stake those as they please.
This is how the energy usecase will benefit Tomochain the company. It will not benefit tomochain the currency as it will not run on tomochain but rather on ethereum.
Now Tomochain the company, will be able to market the Lition Blockchain and the Tomochain blockchain as a coherent package to provide to enterprises. If they succeed in winning any usecases they will establish these usecases as a Lition sidechain backed and staked by TRC21 LIT tokens. Thus these usecases will provide value to both Tomochain and Lition.

1) to be able to offer enterprises an extra layer of GDPR compliant blockchain technology which Ethereum no longer can.
2) possibility of Lition income streams to be directed to future Tomochain only projects.

Tomochain the chain loses:
1) a whole lot of Tomochain the company money that would otherwise have been invested into Tomochain only projects.
2) Having to share value generated through future usecases, which will be a result of Tomochain the Team work, with the Lition blockchain.
3) Missing out on Lition Energy usecase value.

To address all the fud against the acquisition of lition

1. Why will tomochain not fork and create their own layer 2 using lition technology?
Copying a layer 2 isn't as easy as forking the codebase, the token that they will use on the new layer 2 needs to decentralized, no one will adopt a centralized layer 2. Also, they would have to do this before putting any additional usecases on the lition sidechain. There seems to be something in place so that they don't outright create their own forked layer 2 instead of using lition sidechain because both Richard and tomochain have agreed to onboard new usecases on the lition sidechain for some time and once there are more usecases running on the lition sidechain it is impossible to shift them to another layer 2 without disrupting the ongoing usecases. There are also very few incentives for tomochain to create a new layer 2 instead of using lition sidechain. They have already invested their money to buy lition blockchain and now they own it along with LIT tokens, why would they spend additional money and time to recreate what they already have? They are a small company and would instead focus their time and money on securing additional usecases and generating revenue for their ecosystem of which lition blockchain is now a part.

2. Richard sold to avoid legal action in the future / Richard betrayed us.
Those of you saying Richard sold lition blockchain to get rid of any legal ramifications in the future due to it failing need to understand that it would NEVER FAIL because the energy sidechain would always be running on it. You can't take legal action against a startup because it is not able to get additional usecases. He could have moved on to the energy side without any consequence and that would be betrayal. He sold it to tomochain because he DIDN'T want to betray us.

The only real fud against this acquisition is that tomochain could restrict lition layer 2 from using any other layer 1. Hopefully this will be answered in the AMA. But even if they restrict it to tomochain and increase the usecases, it would be better than if it was available for every layer 1 but not widely adopted.

Also tomochain is teasing a CBDC running on lition sidechain, if this is true the fomo itself will lead to lition reaching $5 eoy. We would never see these low prices ever again.

No, at the moment the rewards pool is made of 0.1 LIT for transactions, independently of LIT price. There are no indications of this changing in the short term.
