Why didn't Chainlink go through the process of registering with the SEC and issuing a proper security, like any other proper software company raising money from the public? That requires routinely issuing filings and disclosures about risks, ownership structure etc.

NONE of that was done. Instead, they printed some air tokens, called it a "utility token" despite not having any utility (Chainlink does all of its business in actual US dollars) and bypassed ALL of the laws that are on the books to protect investors, retained over 60% of the premined supply, and then proceed to dump it on their investors.
